1. Introduction

Welcome to Akrisso Innovations Private Limited (“Akrisso“, “we“, “our“, or “us“). These Terms of Use (“Terms“) govern your access to and use of:

• our website https://www.akrisso.com (the “Site“),

• our creative and technology services delivered by our two divisions: AI Creative VFX Lab and AI Tech Lab, and

• our software services, developer tools, APIs, models, and any mobile or web applications, including our SaaS products (collectively, the “Offerings“).

Akrisso Innovations Private Limited is based out of Gurgaon (Gurugram), Haryana, India.
We also operate a SALES SaaS product called Genisso, hosted at https://www.genisso.com. Product‑specific or supplemental terms for Genisso may apply and will control in case of conflict with these Terms.

By accessing or using any Offering, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Offerings.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made thereunder (as amended), including Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

2. Eligibility & Accounts

1. Capacity. You represent that you have the legal capacity and authority to agree to these Terms on your own behalf or on behalf of an entity you represent. If you are under 18, you may use the Offerings only with the involvement and supervision of a parent or legal guardian.

2. Registration. Some Offerings require an account. When creating an account, you must provide accurate and complete information and keep it updated. You are responsible for all activity that occurs under your account and for safeguarding your credentials. Notify us promptly of any unauthorized use or security breach.

3. Access. Access may depend on third‑party services (e.g., internet providers). We are not liable for outages or delays outside our reasonable control. We may suspend or disable accounts that violate these Terms.

3. Permitted Use & Acceptable Use Policy

You may use the Offerings only for lawful purposes and in accordance with these Terms. You agree not to:

• violate applicable laws, third‑party rights (including intellectual property, privacy, or publicity rights), or contractual obligations;

• upload, generate, or share content that is illegal, harmful, defamatory, obscene, pornographic, paedophilic, harassing, hateful, discriminatory, or otherwise objectionable;

• threaten the unity, integrity, defense, security, or sovereignty of India; incite an offence; or insult another nation;

• attempt to gain unauthorized access to the Offerings or related systems or networks; test, probe, or scan for vulnerabilities; circumvent security or access controls;

• reverse engineer, decompile, or disassemble any Offering, model, or component, except to the extent permitted by mandatory law;

• benchmark, scrape, mine, or use automated means to access the Offerings (including models or APIs) for competitive analysis without our prior written permission;

• use the Offerings to create, train, or improve models that compete with our models or services, or to create substantially similar services;

• transmit malware, malicious code, or content that harms or interferes with the Offerings;

• misrepresent your identity, impersonate another person or entity, or use the Offerings to disseminate spam or fraudulent schemes;

• remove or alter proprietary notices.

We may suspend or terminate access for violations of this section. Planned maintenance or updates may render the Offerings temporarily unavailable.

4. User Inputs & Outputs (AI Content)

1. Definitions. “Input” means content you (or your end users) provide to the Offerings (e.g., text, images, audio, video, data, prompts). “Output” means content generated by the Offerings in response to Inputs. Together, Input and Output are “Content“.

2. Your Rights in Output. To the extent permitted by law, and subject to these Terms and any product‑specific terms, we assign to you our rights in the Output generated for your Inputs. Output may be non‑unique and similar or identical to content generated for others.

3. Your Responsibilities. You are responsible for (a) your Inputs, (b) deciding whether and how to use any Output, and (c) evaluating Output for accuracy, legality, and appropriateness. Output is provided for informational purposes only and is not professional advice.

4. Our License to Inputs. You grant Akrisso a worldwide, non‑exclusive license to use, host, copy, process, transmit, display, and create derivative works of your Inputs (and, if necessary, Output) to provide, operate, secure, and maintain the Offerings, to comply with law, and as otherwise permitted by our Privacy Policy. Where permitted by law and stated in applicable product settings, we may use Content to improve our models and services; you may have opt‑out choices that we will honor if available and configured.

5. Third‑Party Rights & Compliance. You represent and warrant that you have all necessary rights to provide Inputs and that your Content does not violate applicable law or third‑party rights.

5. Intellectual Property & License

1. Our IP. The Offerings, including software, models, algorithms, training methods, data pipelines, designs, UI/UX, documentation, and trademarks, are owned by Akrisso or our licensors and are protected by law. Except for rights expressly granted, we reserve all rights.

2. Your License. Subject to these Terms and any applicable Order/Form or product plan, we grant you a limited, revocable, non‑exclusive, non‑transferable, non‑sublicensable license to access and use the Offerings for your internal business purposes.

3. Feedback. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty‑free license to use them without restriction.

6. Plans, Fees & Payments (where applicable)

1. Fees. Certain Offerings (including Genisso) are paid. Fees, billing cycles, and plan features are described at the point of purchase or in an applicable Order/Form. We may update prices prospectively with reasonable notice where required by law.

2. Payments. Payments may be processed by third‑party payment processors. You authorize us and our processors to charge your payment method for due amounts. We do not store full card details.

3. Taxes. Fees are exclusive of taxes, duties, or levies. You are responsible for applicable taxes, except taxes on our net income.

4. Refunds. Except where required by law or expressly stated otherwise, all fees are non‑refundable.

7. Third‑Party Services & Open Source

The Offerings may interoperate with third‑party products or contain open‑source components. Your use of third‑party services is subject to their terms and privacy policies. In the event of a conflict between these Terms and an open‑source license governing included components, the open‑source license will prevail for those components.

8. Privacy

Your use of the Offerings is also governed by our Privacy Policy (available on the Site or product‑specific sites, including genisso.com). We process personal information in accordance with applicable law and our Privacy Policy.

9. Confidentiality

Each party may access the other’s confidential information. The receiving party will use reasonable care to protect such information and will not use or disclose it except as permitted by these Terms or with the disclosing party’s consent. This section does not limit disclosures required by law or court order (with notice where legally permitted).

10. Security

We implement reasonable technical and organizational safeguards designed to protect the Offerings and information processed by them. No system is 100% secure, and we cannot guarantee that unauthorized third parties will never defeat our safeguards.

11. Disclaimers

1. AS‑IS. The Offerings (including Output) are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non‑infringement, accuracy, and quiet enjoyment.

2. AI Limitations. Output may be inaccurate, incomplete, or inappropriate for your context. You should not rely on Output as legal, medical, financial, or other professional advice. You are solely responsible for your use of Output.

3. Availability. We do not warrant that the Offerings will be uninterrupted, secure, error‑free, or compatible with every device or browser.

12. Indemnity

You will defend, indemnify, and hold harmless Akrisso, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your Content, (b) your use of the Offerings, or (c) your breach of these Terms or violation of law or third‑party rights.

13. Limitation of Liability

To the maximum extent permitted by law, Akrisso is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or goodwill, even if advised of the possibility. Our aggregate liability arising out of or relating to the Offerings will not exceed the greater of (i) the amounts paid by you to Akrisso for the Offering giving rise to the claim in the 12 months preceding the event giving rise to liability, or (ii) INR 50,000. These limits apply even if a remedy fails of its essential purpose.

14. Suspension & Termination

We may suspend or terminate your access to the Offerings (in whole or part) at any time with or without notice if we reasonably believe you have violated these Terms, pose a security risk, or as required by law. Upon termination, your right to use the Offerings ceases, but sections that by their nature should survive (including IP, confidentiality, disclaimers, limitations, and indemnity) will survive. We may retain or delete Content in accordance with law and our policies.

15. Changes to the Offerings or Terms

We may modify the Offerings and these Terms from time to time. Changes are effective when posted on the Site or product portals (including genisso.com).
